- Representing an Indian multinational pharmaceutical company before the Egyptian Drug Authority (EDA), the General Organization for Export and Import Control, and Egyptian Ministry of Health (MOH) with regards to regulatory issues with the EDA as well as advising on the audit carried by the MOH to the factory located in India as well as advising on registration of pharmaceutical products and potential audit due diligence of its agent in Egypt.
- Representing Vitabiotics LLC in several misdemeanor cases pertaining to board members’ resolutions before the Egyptian Public Prosecutor’s Office and the Alexandria Economic Courts.
- Representing Vezeeta and Vezeeta E- Commerce in all of the criminal cases brought against their management personnel by the Egyptian Public Prosecution Office with respect to allegedly inter alia unlicensed practice of the pharmaceutical profession and unlawful marketing for medicinal products. Our involvement ensured that our client was found not in violation of any laws, marking a significant milestone in this transformative legal dispute.
- Representing a leading digital healthcare platform operating in the Middle East and Africa, has raised a USD 40 Million Series D funding round led by UAE-based Gulf Capital, alongside further investment from existing Riyadh-based investor.
- Representing GlaxoSmithKline (“GSK”) Group of Companies in many tax claims against the Minister of Finance with respect to wrong practices applied by the Ministry on the pharmaceutical industry. Our representation and defenses have established legal precedents that the Ministry now applies when dealing with the pharma sector post-judgment.
- Acting as a local counsel for GSK in the acquisition of the business of Bristol Myers Squibb in a USD 210 million deal; and in its acquisition of a local pharmaceutical company, Amoun Pharmaceutical Industries, at an approximate price of USD 105 million.
- Acting as local/legal counsel for GSK in its multi-billion dollars’ asset trading deal with Novartis, considered to have reshaped the pharmaceutical industry globally.
- Representing Pfizer in its attempted acquisition of a pharmaceutical company in Egypt in 2008.
- Acting as legal counsel for Abbott Laboratories Switzerland on providing the legal step plan regarding the actions that should be taken locally in Egypt jurisdiction, after implementing a conversion of Abbott Laboratories SA to a GmbH, so that the scientific office reflects the correct name of the entity that has registered said scientific office in Egypt.
- Acting as Legal Counsel for EVER Neuro Pharma and EVER Valinject GmbH with regards to reviewing distribution agreements and documentation related to handling the Scientific Office activity and advising on legal compliance aspects resulting from change in laws, specifically the Egyptian Drug Authority, all in relation to the jurisdiction of Egypt.
- Advising Bupa International on the application of Egyptian laws relating to marketing and sale of international private medical insurance over the Internet.
- Advising a British multinational consumer healthcare company on Egyptian bribery legislation and reporting requirements regarding certain conducts in its Egypt branch relating to its employees.
- Handling the day-to-day legal and secretarial work for Roche and Roche Diagnostics.
- Advising the winning consortium of the Alexandria University Hospitals PPP Project in relation to the tender requirements and shareholding structure of the project company.
- Acting as legal counsel in a multi-million USD capital increase/infusion of Eli Lilly Group of Companies, as well as on the restructuring of the board members and signatory powers of its legal entities in Egypt; and advised on civil and criminal liability of the board members
- Representing a Qatari private equity in its contemplated acquisition of an equity stake in Amoun Pharmaceutical Company, valued at USD 500 million.
- Advising Unicharm Corporation, a MENA-leading baby and health care products manufacturer, against Uni Sham for trademark violation with similar “Baby Boy” diapers. The Firm is worked with the Prosecution Office and Trademarks Registry to report the similarities, by representing Unicharm in a misdemeanor case, and managing the removal of the copied trademark to register the original one.
