Nadine Khalil is a Senior Associate at Shahid Law Firm and a core member of the International Business and Dispute Resolution Group. With a decade of experience, she brings in-depth expertise across Corporate Law, Project Finance, and Dispute Resolution. Nadine’s focus spans key industries including aviation, maritime, TMT, and financial services, where she advises clients on complex legal matters and regulatory compliance.

Nadine has a proven track record representing clients in trade, commercial, media, and investment disputes, appearing before international tribunals, Egyptian courts, and administrative bodies. In addition to her dispute resolution practice, she provides legal counsel on project financing, compliance, and regulatory matters, particularly within industries such as insurance, financial services, and construction. Her comprehensive approach ensures clients receive thorough legal solutions in both contentious and non-contentious matters.

Arbitration & Dispute Resolution Experience

  • Represented PTT Energy Resources Company Limited (PTTER), an Asian-owned company, in the first bilateral investment treaty (BIT) brought before an Egyptian court for a claim that exceed one billion dollars.
  • Acted as co-counsel to Gesenu S.p.A., an Italian waste management company in an investor-state dispute involving the expropriation (among other things) of its business in Egypt, under the auspice of ICSID.
  • Represented Confederation of African Football (CAF) in ICC Emergency Arbitration proceedings initiated by Lagardère in connection with the termination of a 28-year USD 1 Billion contract for the commercial exploitation of CAF Competitions.
  • Advised and represented Chinese, Thais, and Turkish manufacturers before the Egyptian Anti-Dumping, Subsidy, and Safeguard Department in several anti-dumping investigations.
  • Advised an aerospace company on the possibility of re-filing a commercial arbitration against the Egyptian Ministry of Civil Aviation, among others, for its reported breach of a multi-million-dollar construction contract (of an airport and resort) in the Sinai Peninsula.
  • Represented a leading Indian construction company in a dispute before the ICC against an Egyptian Manufacturer of corrugated boxes.
  • Represented an international association of airlines in its multi-million-pound insurance dispute against an Egyptian insurance company in an investigation filed before the Financial Regulatory Authority (FRA). The dispute concerned a complex insurance structure involving insurance, brokerage, and reinsurance companies from various jurisdictions to guarantee payment to the Client for tickets it sells on behalf of airlines; and the FRA’s Committee found the insurance company responsible for an amount of EGP 115M claimed by the Client.
  • Advising an international association of airlines for their e-wallet solution for agents’ application on compliance with the FinTech and Banking regulations to ensure it can be structured in a manner that meets regulatory requirements.

Technology, Media & Telecommunication (TMT), and IP Experience

  • Advised HENGTONG GROUP CO., LTD in relation to the Crossing Agreement, the EPC Contract entered by and between PEACE and Huawei Marine Networks Co., Limited from a legal perspective and according to the Egyptian Laws and Regulations; as well as a full review of all the obtained licenses and permission as well as consultation with the Egyptian National Telecommunication Regulatory Authority (NTRA) and Telecom Egypt.
  • Advised 2Africa subsea cable system on requirements and permissions for a marine survey in Egypt.
  • Advised leading TMT companies on all legal aspects relating to their business activities in Egypt including the recently enacted cybercrimes and media laws.
  • Advising a major Teleperformance company with general legal and corporate advice with respect to compliance of their digital services with Egyptian tech and privacy legislation.
  • Providing Vivo Mobile Communication Technology with general legal and corporate advice with respect to compliance with their services.
  • Advising an international association of airlines for their e-wallet solution for agents’ application on compliance with the FinTech and Banking regulations to ensure it can be structured in a manner that meets regulatory requirements.
  • Advising Google on matters of immunity, criminal statutes, jurisdiction in the context of the internet, libel, intellectual property, and consumer protection under Egyptian law.

Banking & Finance, Projects Financing

  • Advised UKEF and KFW in multi-million-dollar aircraft and engine finance transactions across several jurisdictions.
  • Advised Arab Banking Corporation on financing a multi-million-dollar aircraft purchase involving EgyptAir Cargo.
  • Acting on behalf of HyperPay Inc to incorporate an entity in Egypt and advising the company on all legal aspects as well as the licensing requirements for their Fintech activities in Egypt.

Before joining Shahid Law Firm, Nadine worked as an associate at a leading law firm and in the legal department of Egypt’s Ministry of Agriculture. She holds a Master’s in Procedural Law and a Bachelor of Law from Ain Shams University, where she ranked in the top 5. Nadine advises Egyptian and international clients on corporate, commercial, distribution, agency, trade, and competition matters.
